Terms of Service

By downloading or using Clearminutes you agree to these terms. Please read them carefully. The most important things: you get a personal, non-transferable licence to use the software; payment and billing are handled entirely by Paddle; and your meeting content never leaves your device.

1. About these terms

These Terms of Service ("Terms") govern your use of Clearminutes, a desktop application ("the App") and associated services operated by DevBytesUK, a trading name of James Gibbard ("we", "us", "our"), an individual based in the United Kingdom, accessible at devbytes.co.uk. The contracting party for these Terms is James Gibbard (trading as DevBytesUK), not a registered company.

By downloading, installing, or using Clearminutes in any way, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, please do not use the App.

These Terms form a legally binding agreement between you and DevBytesUK. They are governed by the laws of England and Wales.

2. The App and tiers of access

2.1 Free tier

Clearminutes is available to download and use without creating an account. The free tier permits use of core meeting capture and transcription features. No payment is required for free tier access.

2.2 Pro subscription

Clearminutes Pro is a paid subscription that unlocks additional features including advanced AI summarisation, speaker diarisation, action item sync, audio import, and early access to new features as they are released.

Pro is offered at the following prices (inclusive of applicable VAT where required):

  • Monthly plan: £12.00 per month
  • Annual plan: £108.00 per year (equivalent to £9.00 per month)

All prices are in GBP. Prices displayed at checkout apply to your transaction.

3. Payment and billing

All payments for Clearminutes Pro are processed by Paddle. Paddle acts as the Merchant of Record for all transactions, which means:

  • Your purchase contract for the subscription is between you and Paddle, not DevBytesUK.
  • All billing, VAT calculation, VAT remittance, invoicing, and payment processing is handled by Paddle.
  • Paddle's terms of service and privacy policy apply to the financial transaction. These can be found at paddle.com/legal.
  • DevBytesUK does not have access to your payment card details or full billing information.

Subscriptions renew automatically at the end of each billing period (monthly or annual) unless cancelled before the renewal date. You will receive a receipt from Paddle for each charge.

4. Software licence

Subject to your compliance with these Terms and (where applicable) payment of the applicable subscription fee, DevBytesUK grants you a limited, personal, non-exclusive, non-transferable, revocable licence to:

  • Download and install Clearminutes on devices you personally own or control.
  • Use Clearminutes for your own personal or professional meeting capture and summarisation purposes.

This licence does not permit you to:

  • Copy, redistribute, sublicence, sell, resell, or otherwise transfer Clearminutes or any part of it to any third party.
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of Clearminutes, except to the extent permitted by applicable law.
  • Modify, adapt, translate, or create derivative works based on Clearminutes.
  • Remove or alter any proprietary notices, labels, or marks on the App.
  • Use Clearminutes to develop a competing product or service.
  • Share your Pro licence or account credentials with other individuals.

The App incorporates open-source components. Where required by their respective licences, attribution notices are included within the App distribution.

5. Acceptable use

You agree to use Clearminutes only for lawful purposes and in compliance with all applicable laws and regulations. In particular, you must not use Clearminutes to:

  • Record or transcribe any conversation without the knowledge and consent of all participants, where such consent is required by applicable law.
  • Process, record, or store content that is illegal, defamatory, obscene, or infringes the intellectual property rights of any third party.
  • Circumvent, disable, or otherwise interfere with security features of the App or any associated services.
  • Attempt to gain unauthorised access to our systems or any systems connected to the App.

You are solely responsible for ensuring that your use of Clearminutes complies with the laws of your jurisdiction, including any applicable recording consent laws (such as two-party consent requirements in certain US states or equivalent local legislation).

6. Cancellation and access after cancellation

You may cancel your Pro subscription at any time through the Paddle customer portal or by contacting us at support.clearminutes.app.

Upon cancellation, your Pro access will continue until the end of the current paid billing period. At that point, your account will revert to the free tier. No partial refunds are issued for unused time within a billing period, except where our Refund Policy provides otherwise.

Cancellation does not delete your local app data. Meeting transcripts and recordings stored on your device remain accessible to you through the app.

7. Local processing and data ownership

Clearminutes processes all audio, transcription, and AI summarisation entirely on your local device. You retain full ownership of all content you create using the App, including recordings, transcripts, and summaries. We make no claim over your meeting content.

Because your data never leaves your device, DevBytesUK cannot recover lost data, provide backup services, or access your meetings for support purposes.

8. Availability and updates

The Clearminutes desktop application is local software that runs on your device. As such, its core functionality does not depend on our servers being available. However, licence verification, account management, and certain Pro features may require an active internet connection.

We may release updates to the App from time to time. Updates may introduce new features, modify existing features, or address security and stability issues. We recommend keeping the App updated. We reserve the right to discontinue support for older versions of the App.

We do not guarantee any specific level of uptime or availability for server-side components (such as licence verification). We will endeavour to minimise disruption, but we are not liable for any loss caused by temporary unavailability of server-side services.

We are not obligated to provide regular updates, ongoing maintenance, lifetime support, or any specific future features. Any new features, improvements, or updates are provided at our discretion and may be discontinued or modified at any time.

9. Intellectual property

Clearminutes, including its name, logo, code, design, and documentation, is the intellectual property of DevBytesUK. Nothing in these Terms transfers any intellectual property rights to you beyond the licence granted in Section 4.

Any feedback, suggestions, or feature requests you provide to us may be used by DevBytesUK to improve the App without obligation or compensation to you.

10. Disclaimers and limitation of liability

Clearminutes is provided "as is" and "as available" without warranties of any kind, either express or implied. To the maximum extent permitted by law, DevBytesUK disclaims all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

AI-generated transcripts and summaries are produced by on-device models and may contain errors, omissions, or inaccuracies. You should not rely on them as a complete or authoritative record without independent verification.

To the fullest extent permitted by applicable law, DevBytesUK shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use Clearminutes. Our total aggregate liability for any claim arising under these Terms shall not exceed the amount you paid to DevBytesUK (or Paddle on our behalf) in the three months preceding the claim.

Nothing in these Terms limits or excludes our liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.

11. Consumer rights

If you are a consumer (an individual using Clearminutes for purposes outside of trade or profession), you may have additional statutory rights that these Terms cannot override, including rights under the Consumer Rights Act 2015. Nothing in these Terms affects those statutory rights.

If you are in the EU, your rights under the Consumer Rights Directive and the Digital Content Directive (2019/770/EU) — including the right to updates that maintain conformity during your subscription — are not affected by these Terms.

12. Changes to these Terms

We may update these Terms from time to time to reflect changes in the law, our practices, or the App. When we make material changes, we will update the "Last updated" date at the top of this page and notify active Pro subscribers by email with reasonable notice before the changes take effect.

Your continued use of Clearminutes after updated Terms take effect constitutes your acceptance of the revised Terms. If you do not agree to updated Terms, you must stop using the App and cancel your subscription.

13. Termination

We reserve the right to suspend or terminate your access to Clearminutes Pro if you materially breach these Terms, including but not limited to sharing your licence, attempting to reverse engineer the App, or using the App for illegal purposes. In the event of termination for breach, no refund will be issued.

You may terminate your agreement with us at any time by cancelling your subscription and uninstalling the App.

14. Governing law and disputes

These Terms and any disputes arising from them are governed by the law of England and Wales. You and DevBytesUK agree to submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes, except where applicable consumer law entitles you to bring a claim in the courts of your country of residence.
